Terms and Conditions for OptimX
These Terms and Conditions (“Terms”) govern your access to and use of the OptimX mobile application and website (collectively, the “App”), including any services, content, features, and functionality offered on or through the App (the “Services”).
By accessing or using the App, you agree to be bound by these Terms and all terms incorporated by reference. If you do not agree to these Terms, you may not access or use the App.
1. Acceptance of Terms
By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies or guidelines referenced herein.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into this agreement. By using the App, you represent and warrant that you meet these eligibility requirements. We may, in our sole discretion, refuse to offer the Services to any person or entity.
3. Risk Disclosure
Cryptocurrency trading involves significant risk and is not suitable for all investors. The value of cryptocurrencies can be highly volatile and unpredictable. You could lose all or a substantial portion of your investment. You acknowledge and agree that:
- Cryptocurrencies are not legal tender and are not backed by any government.
- Your accounts are not subject to deposit insurance (e.g., FDIC or SIPC protections).
- Legislation and regulation concerning cryptocurrencies are evolving and may change at any time, which could adversely affect the use, transfer, exchange, and value of cryptocurrencies.
- Transactions may be irreversible, and losses due to fraudulent or accidental transactions may not be recoverable.
- The market for cryptocurrencies is susceptible to market manipulation, technological glitches, and security breaches.
- You are solely responsible for understanding and bearing the risks associated with cryptocurrency trading.
4. Account Registration and Security
- Account Creation: To use the Services, you must register for an account and provide accurate, complete, and up-to-date information as requested (e.g., name, email, phone number, government-issued ID). You agree to keep this information updated.
- Identity Verification (KYC/AML): You agree to complete our identity verification process (Know Your Customer – KYC) and provide any information we deem necessary to comply with Anti-Money Laundering (AML) and other regulatory obligations. Failure to do so may result in the suspension or termination of your account.
- Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials (username, password, two-factor authentication codes) and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account.
5. Deposits and Withdrawals
- Deposits: You may deposit supported cryptocurrencies or fiat currency into your App wallet. All deposits are subject to our verification processes and may be delayed or rejected for security or compliance reasons.
- Withdrawals: You may withdraw supported cryptocurrencies or fiat currency from your App wallet, subject to withdrawal limits, fees, and our security procedures. We reserve the right to delay or refuse withdrawals if we suspect fraud, money laundering, or other illicit activity.
- Wallet Transfers: The App allows you to transfer supported cryptocurrencies from your wallet within the App to other wallets (on-chain transfers). You are solely responsible for providing accurate recipient wallet addresses. We are not responsible for irreversible losses due to incorrect addresses.
6. Trading Rules
- Order Execution: We will endeavor to execute your buy and sell orders promptly. However, we do not guarantee immediate execution or a specific price. Market volatility, network congestion, and other factors may affect order execution.
- Price Volatility: You acknowledge that cryptocurrency prices can change rapidly. The price displayed at the time of your order may differ from the actual execution price.
- Trade Confirmation: All trades are final and irreversible once executed. You are responsible for reviewing trade confirmations and reporting any discrepancies immediately.
7. Fees
You agree to pay all fees associated with your use of the Services, including but not limited to trading fees, deposit fees, withdrawal fees, and network transaction fees. Our current fee schedule will be available on the App and may be updated from time to time.
8. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Using the App for any illegal or unauthorized purpose.
- Engaging in any form of market manipulation, fraud, or deceptive practices.
- Attempting to gain unauthorized access to our systems or other users’ accounts.
- Interfering with or disrupting the integrity or performance of the App or Services.
- Violating any applicable laws, regulations, or third-party rights.
- Using the App to disguise the proceeds of criminal activity (money laundering, terrorist financing).
9. Intellectual Property
All content, trademarks, service marks, logos, and intellectual property displayed on the App are the property of Optim Coins or its licensors. You may not use, copy, reproduce, modify, distribute, or display any of our intellectual property without our prior written consent.
10. Privacy Policy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information. By using the App, you consent to such collection, use, and disclosure in accordance with our Privacy Policy.
11. Termination
We may, at our sole discretion, suspend or terminate your access to the App and Services at any time, with or without cause or notice, including for violation of these Terms, suspected illegal activity, or non-compliance with regulatory requirements. Upon termination, your right to use the Services will immediately cease.
12. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of Melbourne, Australia without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved through [e.g., binding arbitration in accordance with the rules of Australia, or exclusive jurisdiction of the courts located in Melbourne, Australia.
13. Amendments
We reserve the right to modify or update these Terms at any time, in our sole discretion. We will notify you of any material changes by posting the updated Terms on the App or by other reasonable means. Your continued use of the App after such modifications constitutes your acceptance of the revised Terms.
14. Disclaimer of Warranties
The App and Services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
15. Limitation of Liability
To the fullest extent permitted by law, in no event shall Optim Coins, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use, the App or Services.
